Does anyone have language in their RC by-laws covering the removal of a non-performing member?

To those who have replied privately inquiring what is meant by a "non-performing member," it refers to the dilema presented by someone who is not, for whatever reason, discharging the responsibilities of their office, but refuses to relinquish their position. This presents a persistent problems over time when RC members can serve up to four years.

In our community those responsibilities include:

1. Attending regularly scheduled (monthly) RC meetings prepared to deal with the agenda items & contributing to the proceedings.
2. Chairing a chosen or assigned subcommittee (e.g. Finance, Dining, etc.) of the RC which meets monthly, and requires the Chair to issue agendas in advance and conduct those meetings as well as corresponding with residents and committee members regarding the concerns of the committee.
3. Attend community forums at which RC members regularly field inquiries from residents about their interests and concerns.

The following is our Resident Assn's Bylaws' language on this subject:

If any member of the Council

(1) Dies, or

(2) Resigns, or

(3) Fails to attend 1⁄2 of the Residents’ Council meetings within a term year

and there is agreement by unanimous vote of the (remaining) Officers

that there has been a failure to perform duties of a Council member, or

(4) Chooses not to be reelected, then a vacancy is confirmed.

(b) Filling a Vacancy

(1) In the case of an Officer, the Nominating Committee will recommend

a successor to the Council for approval.

(2) In the case of an Area Representative, the area’s constituency will

hold an election. In the case of the Representative of Health Care

residents, the Chair of the Nominating Committee shall, within thirty

(30) days, recommend a replacement to the Council for approval.

(3) In the case of a Standing Committee Chair, the Vice President will

appoint a successor.

(4) In the case of an appointed position, a successor will be appointed
